Kila Store Software Licenses

Your use of Kila-branded software is on the terms of the license in effect for the software at the time of purchase.  You will be asked to agree to the terms of the applicable license at the time that you install the software.  You may review examples of some of Kila's licenses, including limitations, by clicking the appropriate link below.  Please be aware, however, that your purchase is subject to the particular license that accompanies the software and you must agree to the terms and conditions of that license when you install the software.  That license may differ from the licenses you can review here.  Be certain to read the applicable license carefully before you install the software.

Product Warranty

Overview

All Kila hardware products, including clearance and refurbished products, carry a one-year Limited Warranty against defects in materials and workmanship. You may review a copy of the Limited Warranty on new products, including its limitations and exclusions, before you purchase, by clicking the appropriate link below.

Kila One (1) Year Limited Warranty - Warranty Coverage

Kila's warranty obligations are limited to the terms set forth below:
Kila, as defined below, warrants this Kila-branded hardware product against defects in materials and workmanship under normal use for a period of ONE (1) YEAR from the date of retail purchase by the original end-user purchaser ("Warranty Period"). If a hardware defect arises and a valid claim is received within the Warranty Period, at its option, Kila will either (1) repair the hardware defect at no charge, using new or refurbished replacement parts, or (2) exchange the product with a product that is new or which has been manufactured from new or serviceable used parts and is at least functionally equivalent to the original product, or (3) refund the purchase price of the product. Kila may request that you replace defective parts with new or refurbished user-installable parts that Kila provides in fulfillment of its warranty obligation. A replacement product or part, including a user-installable part that has been installed in accordance with instructions provided by Kila, assumes the remaining warranty of the original product or ninety (90) days from the date of replacement or repair, whichever provides longer coverage for you. When a product or part is exchanged, any replacement item becomes your property and the replaced item becomes Kila's property. Parts provided by Kila in fulfillment of its warranty obligation must be used in products for which warranty service is claimed. When a refund is given, the product for which the refund is provided must be returned to Kila and becomes Kila's property.

Exclusions And Limitations

This Limited Warranty applies only to hardware products manufactured by or for Kila that can be identified by the "Kila" trademark, trade name, or logo affixed to them. The Limited Warranty does not apply to any non-Kila hardware products or any software, even if packaged or sold with Kila hardware. Manufacturers, suppliers, or publishers, other than Kila, may provide their own warranties to the end user purchaser, but Kila, in so far as permitted by law, provides their products "as is". Software distributed by Kila with or without the Kila brand name (including, but not limited to system software) is not covered under this Limited Warranty. Refer to the licensing agreement accompanying the software for details of your rights with respect to its use.

Kila does not warrant that the operation of the product will be uninterrupted or error-free. Kila is not responsible for damage arising from failure to follow instructions relating to the product's use.

This warranty does not apply: (a) to damage caused by use with non-Kila products; (b) to damage caused by accident, abuse, misuse, flood, fire, earthquake or other external causes; (c) to damage caused by operating the product outside the permitted or intended uses described by Kila; (d) to damage caused by service (including upgrades and expansions) performed by anyone who is not a representative of Kila or an Kila Authorized Service Provider; (e) to a product or part that has been modified to significantly alter functionality or capability without the written permission of Kila; (f) to consumable parts, such as batteries, unless damage has occurred due to a defect in materials or workmanship; or (g) if any Kila serial number has been removed or defaced.

TO THE EXTENT PERMITTED BY LAW, THIS WARRANTY AND REMEDIES SET FORTH ABOVE ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, REMEDIES AND CONDITIONS, WHETHER ORAL OR WRITTEN, STATUTORY, EXPRESS OR IMPLIED. AS PERMITTED BY APPLICABLE LAW, KILA SPECIFICALLY DISCLAIMS ANY AND ALL STATUTORY OR IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND WARRANTIES AGAINST HIDDEN OR LATENT DEFECTS. IF KILA CANNOT LAWFULLY DISCLAIM STATUTORY OR IMPLIED WARRANTIES THEN TO THE EXTENT PERMITTED BY LAW, ALL SUCH WARRANTIES SHALL BE LIMITED IN DURATION TO THE DURATION OF THIS EXPRESS WARRANTY AND TO REPAIR OR REPLACEMENT SERVICE AS DETERMINED BY KILA IN ITS SOLE DISCRETION. No Kila reseller, agent, or employee is authorized to make any modification, extension, or addition to this warranty.

EXCEPT AS PROVIDED IN THIS WARRANTY AND TO THE EXTENT PERMITTED BY LAW, KILA IS NOT RESPONSIBLE FOR DIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES RESULTING FROM ANY BREACH OF WARRANTY OR CONDITION, OR UNDER ANY OTHER LEGAL THEORY, INCLUDING BUT NOT LIMITED TO LOSS OF USE; LOSS OF REVENUE; LOSS OF ACTUAL OR ANTICIPATED PROFITS (INCLUDING LOSS OF PROFITS ON CONTRACTS); LOSS OF THE USE OF MONEY; LOSS OF ANTICIPATED SAVINGS; LOSS OF BUSINESS; LOSS OF OPPORTUNITY; LOSS OF GOODWILL; LOSS OF REPUTATION; LOSS OF, DAMAGE TO OR CORRUPTION OF DATA; OR ANY INDIRECT OR CONSEQUENTIAL LOSS OR DAMAGE HOWSOEVER CAUSED INCLUDING THE REPLACEMENT OF EQUIPMENT AND PROPERTY, ANY COSTS OF RECOVERING, PROGRAMMING, OR REPRODUCING ANY PROGRAM OR DATA STORED OR USED WITH KILA PRODUCTS AND ANY FAILURE TO MAINTAIN THE CONFIDENTIALITY OF DATA STORED ON THE PRODUCT. THE FOREGOING LIMITATION SHALL NOT APPLY TO DEATH OR PERSONAL INJURY CLAIMS. KILA DISCLAIMS ANY REPRESENTATION THAT IT WILL BE ABLE TO REPAIR ANY PRODUCT UNDER THIS WARRANTY OR MAKE A PRODUCT EXCHANGE WITHOUT RISK TO OR LOSS OF THE PROGRAMS OR DATA.

Consumer Protection Laws

FOR CONSUMERS WHO ARE COVERED BY CONSUMER PROTECTION LAWS OR REGULATIONS IN THEIR COUNTRY OF PURCHASE OR, IF DIFFERENT, THEIR COUNTRY OF RESIDENCE, THE BENEFITS CONFERRED BY THIS WARRANTY ARE IN ADDITION TO ALL RIGHTS AND REMEDIES CONVEYED BY SUCH CONSUMER PROTECTION LAWS AND REGULATIONS. Some countries, states and provinces do not allow the exclusion or limitation of incidental or consequential damages or exclusions or limitations on the duration of implied warranties or conditions, so the above limitations or exclusions may not apply to you. This warranty gives you specific legal rights, and you may also have other rights that vary by country, state or province. This Limited Warranty is governed by and construed under the laws of the country in which the product purchase took place. Kila, the warrantor under this Limited Warranty, is identified at the end of this document according to the country or region in which the product purchase took place.

Obtaining Warranty Service

Please access and review the online help resources referred to in the documentation accompanying this hardware product before requesting warranty service. If the product is still not functioning properly after making use of these resources, please contact the Kila representatives or, if applicable, a Kila Authorized Service Provider located using the information provided in the documentation. A Kila representative or Kila Authorized Service Provider will help determine whether your product requires service and, if it does, will inform you how Kila will provide it. Kila or its Kila Authorized Service Providers will provide warranty service on products that are tendered or presented for service during the Warranty Period, as permitted by law. If the product is portable, meaning that it can operate independently without a power cord, you may obtain warranty service worldwide. However, service will be limited to the options available in the country where service is requested. If the product is not portable, warranty service may be restricted to the country where the product is purchased. Service options, parts availability and response times will vary according to country. You may be responsible for shipping and handling charges if the product cannot be serviced in the country it is in. In accordance with applicable law, Kila may require that you furnish proof of purchase details and/or comply with registration requirements before receiving warranty service. Please refer to the accompanying documentation for more details on this and other matters on obtaining warranty service.

If your product is capable of storing data or software programs, you should make periodic backup copies of the data and programs contained on the product's hard drive or other storage media to protect your data and as a precaution against possible operational failures. Before you deliver your product for warranty service it is your responsibility to keep a separate backup copy of the system software, application software and data, and disable any security passwords. You will be responsible for reinstalling all such software, data and passwords. Kila and its Authorized Service Providers are not liable for any damage to or loss of any programs, data, or other information stored on any media, or any non-Kila product or part not covered by this warranty. Recovery and reinstallation of system and application software and user data are not covered under this Limited Warranty.

Your privacy is a priority at Kila, and we go to great lengths to protect it.

In addition, your personal information helps us keep you posted on the latest product announcements, software updates, special offers, and events that you might like to hear about.

What information we collect

We may collect personal information relevant to the situation, such as your name, mailing address, phone number, email address, and contact preferences; your credit card information and information about the Kila products you own, such as their serial numbers, and date of purchase; and information relating to a support or service issue. We collect information for market research purposes to gain a better understanding of our customers and thus provide more valuable service. We also collect information regarding customer activities on our website, and on related websites. This helps us to determine how best to provide useful information to customers and to understand which parts of our websites and Internet services are of most interest to them.

If you use a bulletin board or chat room on an Kila website you should be aware that any information you share is visible to other users. Personally identifiable information you submit to one of these forums can be read, collected, or used by other individuals to send you unsolicited messages. Kila is not responsible for the personally identifiable information you choose to submit in these forums.

When we disclose your information

Kila does not sell or rent your contact information to other marketers. Your personal information may be shared with legal entities within the Kila group globally who will safeguard it in accordance with Kila's privacy policy. There are also times when it may be advantageous for Kila to make certain personal information about you available to companies that Kila has a strategic relationship with or that perform work for Kila to provide products and services to you on our behalf. These companies may help us process information, extend credit, fulfill customer orders, deliver products to you, manage and enhance customer data, provide customer service, assess your interest in our products and services, or conduct customer research or satisfaction surveys. Kila takes precautions- including administrative, technical, and physical measures - to safeguard your personal information against loss, theft, and misuse, as well as unauthorized access, disclosure, alteration, and destruction.

The Kila Site uses Secure Sockets Layer (SSL) encryption on all web pages where personal information is required. To make purchases from the Kila Online Site you must use an SSL-enabled browser such as Internet Explorer. Doing so protects the confidentiality of your personal and credit card information while it is transmitted over the Internet.

As is true of most Web sites, we gather certain information automatically and store it in log files. This information includes internet protocol (IP) addresses, browser type, internet service provider (ISP), referring/exit pages, operating system, date/time stamp, and clickstream data.

We use this information, which does not identify individual users, to analyze trends, to administer the site, to track users' movements around the site and to gather demographic information about our user base as a whole. Kila will not use the information collected to market directly to that person.

In some of our email messages we use a "click-through URL" linked to content on the Kila website. When a customer clicks one of these URLs, they pass through our web server before arriving at the destination web page. We track this click-through data to help us determine interest in particular topics and measure the effectiveness of our customer communications. If you prefer not to be tracked simply avoid clicking text or graphic links in the email.

Our companywide commitment to your privacy

To make sure your personal information is secure, we communicate these guidelines to Kila employees and strictly enforce privacy safeguards within the company. And we do not knowingly solicit personal information from minors or send them requests for personal information.

Kila abides by the safe harbor framework set forth by the U.S. Department of Commerce regarding the collection, use, and retention of personal information collected from the European Union. You will find more information about the U.S. Department of Commerce Safe Harbor Program.

Kila's website has links to the sites of other companies. Kila is not responsible for their privacy practices. We encourage you to learn about the privacy policies of those companies.

Kila may update its privacy policy from time to time. When we change the policy in a material way a notice will be posted on our website along with the updated privacy policy.

Sales To End Users Only

The Kila Site sells and ships products to end user customers only.

Return & Refund Policy

If you are not satisfied with your Kila purchase, please contact support@kila.com for a Return Material Authorization (RMA) request within 30 days of the receipt of the product. If the item is returned, without damage, we will exchange it or offer you a refund based on your original method of payment. The product must be returned to the Kila warehouse within 14 calendar days of the issuance of the RMA. All products must be packed in the original packaging including any accessories, manuals, documentation and registration that shipped with the product.

Please note that Kila does not permit the return of or offer refunds for a product that is custom configured to your specifications

NOTE: Kila recommends that you (1) use a carrier that offers shipment tracking for all returns and (2) either insure your package for safe return to Kila or declare the full value of the shipment so that you are completely protected if the shipment is lost or damaged in transit. If you choose not to (1) use a carrier that offers tracking and (2) insure or declare the full value of the product, you will be responsible for any loss or damage to the product during shipping. Please note that the United States Postal Service (USPS) offers limited tracking capabilities and that there is a 30-calendar-day waiting period before the USPS will initiate a trace.

Dead On Arrival (DOA) Product: System Failure Out of the Box

A Kila-branded hardware product is considered DOA if it shows symptoms of a hardware failure, preventing basic operability, upon its first use out of the box. If you believe that your product is DOA, please contact support@kila.com within 30 calendar days of the invoice date. Kila offers you the following options:

Replacement: The same product that you ordered will be shipped to you at Kila's expense. A Kila Sales Support representative will contact with the replacement product delivery time and the procedure for returning the DOA product.

Service: You may have the product repaired

Shipping will be arranged at Kila's expense for all products determined by Kila  Support to be DOA.

Defective Items -Kila Branded Products

If you discover what you believe is a product defect for any Kila product, please contact  Support at support@kila.com.  Such a defect, if any, is covered under the terms of your product's warranty.

Electronic Software Downloads

Using a valid Kila Account, you can select downloadable software products for purchase from Kila.. At the time of checkout, we will obtain an authorization from the credit card you have provided to Kila. Once credit card authorization has been received, you will receive instructions in the form of a link to begin downloading your software.

If the transmission is interrupted in any way during download, you can use your Kila account and password to begin the downloading process again. Once you complete your order, you will receive a separate email acknowledgment that provides information about your purchase.

If credit card authorization is not received, you will receive instructions for completing your purchase.

Please read the product information for Electronic Software Downloads carefully since software download purchases are non-refundable.

Electronic Software Download Sales Tax

Applicable sales tax will be charged for downloadable software purchases where required by local law in the jurisdiction where the purchaser resides.

Proof Of Purchase

Kila will send you a confirmation of your order via email if you have included an email address with your order. If you have not included an email address, you will receive a confirmation of your order by regular mail when your order is shipped.

Custom-Configured Product

We are pleased to offer products that are custom-configured to your specifications, and we encourage you to review your order carefully. Since the product is built to your specifications, the order cannot be changed, modified, or canceled once your order is in production.

Order Processing

The estimated shipment date on your order is based on product availability, payment processing time, and warehouse processing time and does not include transit time. Payment processing will not begin until we receive all the information we need and full payment or a full authorization, in the case of credit card and lease orders.

Orders placed on the weekend or on a holiday will begin payment processing the next business day.

Business days are Monday through Friday, excluding federal holidays.

Sales Tax

Kila Site purchases will include sales tax based on your shipping address and the sales tax rate in effect at the time your order is placed.

Tax-Exempt Orders

If your order is being placed on behalf of a tax-exempt organization or individual, please contact support@kila.com. Be prepared to provide proof of state tax-exempt status for the state where the product is being shipped. The organization or individual name on the order must exactly match the state tax-exempt certificate. Federal tax exemption certificates are not accepted.

Prices

Kila reserves the right to change prices for products displayed at the Kila Site at any time.

Should Kila reduce its price on any shipped product within 30 calendar days of shipment, you may contact Kila Support at support@kila.com to request a refund or credit of the difference between the price you were charged and the current selling price.  To receive the refund or credit you must contact Kila within 30 days of shipment.

Product Availability

Kila makes every effort to ship your product according to the estimated lead times provided by Kila at checkout.  Although every effort is made to ship your order according to the lead time provided, shipping dates may change due to changes in supply. If the lead time changes, Kila will contact you via email and provide a revised shipping estimate.

We encourage you to contact Kila for order status information.

Kila endeavors to stay at the forefront of technological advancement. For this reason, Kila reserves the right to discontinue products without notice.

Other Terms And Conditions

Kila is not responsible for typographical errors.

Kila reserves the right to change the terms and conditions of sale at the Kila Site at any time.

All sales at the Kila Site are governed by California law, without giving effect to its conflict of law provisions.

No Kila employee or agent has the authority to vary any of the Kila Site's policies or the terms and conditions governing any sale.
